TERMS AND CONDITIONS
(Effective as of 01/01/2025

These Terms and Conditions (hereinafter referred to as the “Agreement”) govern the relationship between NERO E ORO and AUBURN ODD FELLOWS LODGE #7 (collectively, “Venue,” “we,” “us,” or “our”) and each ticket holder or attendee (hereinafter referred to as “you” or “your”). By purchasing a ticket, presenting a ticket for entry, or otherwise attending an event at the Venue, you agree to be bound by the following Terms and Conditions. If you do not agree to these Terms and Conditions, you should not purchase a ticket or attend an event at the Venue.

1. ACCEPTANCE OF TERMS
1.1. Binding Agreement. Your purchase or possession of a ticket and/or your attendance at the Venue constitutes acceptance of this Agreement.
1.2. Scope. These Terms and Conditions apply to all events held at or by NERO E ORO and AUBURN ODD FELLOWS LODGE #7, located at 1226 1/2 & (suite 101) Lincoln Way, Auburn, CA 95603 (Placer County).

2. TICKET PURCHASE AND REFUNDS
2.1. No Refunds. All ticket sales are final. The Venue reserves the right to modify, reschedule, or cancel any event at its sole discretion. In such instances, the Venue is under no obligation to offer a refund, exchange, or credit.
2.2. Resale. Tickets may not be resold or offered for resale at a premium (whether directly or through third-party platforms) without our express prior written consent.
2.3. Revocation of Tickets. We reserve the right to refuse entry or eject any individual from the Venue at our sole discretion, including but not limited to, for violation of this Agreement or Venue rules and regulations, disruptive behavior, or any other reason deemed necessary for the safety and comfort of patrons and staff.

3. ASSUMPTION OF RISK; RELEASE OF LIABILITY
3.1. Voluntary Participation. You acknowledge that attending events at the Venue may involve certain risks, including but not limited to, personal injury, property damage, slips, trips, and falls. By attending, you assume all such risks voluntarily.
3.2. Release of Liability. To the maximum extent permitted by law, you, on behalf of yourself, your heirs, assigns, personal representatives, and next of kin, hereby release, waive, discharge, and covenant not to sue NERO E ORO and AUBURN ODD FELLOWS LODGE #7, its directors, officers, employees, agents, volunteers, contractors, or any other representatives (collectively, “Released Parties”) for any injuries, losses, claims, or damages arising out of or related to your attendance at the Venue or participation in any event, whether caused by the negligence of the Released Parties or otherwise.
3.3. Indemnification. You agree to indemnify, defend, and hold harmless the Released Parties from and against any and all claims, damages, liabilities, costs, and expenses (including attorney fees and legal costs) arising out of or related to (a) your breach of this Agreement, (b) your acts or omissions, or (c) your attendance at or participation in any event at the Venue.

4. ALCOHOL SERVICE AND RESPONSIBLE BEHAVIOR
4.1. Alcohol Policy. If alcohol is served at the Venue, you warrant that you are of legal drinking age. Valid government-issued identification may be required to purchase or consume alcohol. We reserve the right to refuse service of alcohol to any patron at our sole discretion.
4.2. Intoxication. Any person who is or appears to be intoxicated may be refused entry to the Venue or asked to leave without refund.
4.3. Responsible Behavior. You are expected to behave responsibly and comply with all Venue rules. Disruptive, aggressive, or dangerous behavior may result in your ejection from the Venue without refund.

5. VENUE RULES AND REGULATIONS
5.1. Compliance with Laws. You agree to comply with all applicable local, state, and federal laws, including those related to fire safety, health, and alcohol consumption.
5.2. Prohibited Items. For the safety of all patrons, we reserve the right to prohibit any items at our discretion, which may include, but are not limited to, weapons, contraband, outside alcohol, or illegal substances.
5.3. Refusal of Entry. We reserve the right to refuse entry or remove any person from the Venue if, in our sole judgment, that person is in violation of this Agreement, poses a danger or risk to others, or otherwise negatively affects the Venue’s operations.

6. CANCELLATION AND FORCE MAJEURE
6.1. Cancellation or Postponement. We reserve the right to cancel or reschedule events for any reason, including but not limited to weather, public safety, or other unforeseen circumstances. You agree that we shall not be liable for any loss or damage of any kind resulting from cancellation or rescheduling and that no refund shall be provided unless otherwise stated by the Venue.
6.2. Force Majeure. We shall not be liable to you for any failure or delay in performance if that failure or delay arises out of causes beyond our reasonable control, such as acts of God, natural disasters, war, terrorism, governmental regulations, or any other event of force majeure.

7. RECORDING, PHOTOGRAPHY, AND SURVEILLANCE
7.1. Consent to Use of Likeness. By attending an event at the Venue, you grant the Venue the irrevocable, perpetual, worldwide right to use your name, image, photograph, voice, and/or likeness in any and all media for marketing, advertising, publicity, or other promotional purposes without further notice or compensation to you.
7.2. Surveillance. You acknowledge that the Venue may conduct video surveillance or other forms of monitoring for security, training, or operational purposes. By entering the Venue, you consent to such surveillance and recording.

8. WAIVER OF CLASS ACTION AND JURY TRIAL
8.1. Class Action Waiver. To the fullest extent permitted by law, you agree that you will not bring or participate in any class action lawsuit against the Released Parties related to your attendance or participation at the Venue.
8.2. Jury Trial Waiver. To the fullest extent permitted by law, you expressly and knowingly waive any right to a jury trial in any legal proceeding arising out of or related to this Agreement.

9. ATTORNEY FEES AND COSTS
In the event of any dispute arising out of or related to this Agreement or your attendance at the Venue, you agree to be responsible for all legal fees, court costs, and other expenses incurred by the Released Parties in defending such dispute.

10. LIMITATION OF LIABILITY
To the fullest extent permitted by law, in no event shall the Released Parties be liable for any direct, indirect, incidental, special, or consequential damages of any kind, including, but not limited to, lost profits, loss of enjoyment, or property damage.

11. CHOICE OF LAW AND VENUE
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in Placer County, California, and you hereby irrevocably submit to the personal jurisdiction of such courts for such purpose.

12. SEVERABILITY
If any provision of this Agreement is deemed invalid or unenforceable, that provision shall be deemed severed from this Agreement and shall not affect the validity or enforceability of the remaining provisions.

13. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the Venue and you with respect to its subject matter and supersedes all prior or contemporaneous agreements, representations, or understandings, whether written or oral.

BY PURCHASING A TICKET, PRESENTING A TICKET FOR ENTRY, OR OTHERWISE ATTENDING AN EVENT AT NERO E ORO AND AUBURN ODD FELLOWS LODGE #7, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.
